Terms of Use

1. Acceptance of Terms

By accessing or using TravelSpark Media (the "Platform"), operated by LB Ventures LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Use ("Terms"). Please read them carefully before using the Platform.

If you are using the Platform on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms, and "you" refers to both you individually and that entity.

If you do not agree to these Terms, you must not access or use the Platform.

2. Description of Service

TravelSpark Media is a subscription-based B2B software platform designed for professional travel agents. The Platform provides:

• AI-powered itinerary generation tools for travel planning
• Destination intelligence including maps, transit information, and attraction data
• A library of professionally designed marketing flyers and promotional videos
• Automated flyer and video branding with agent logos and contact information
• Tour recommendations curated from third-party providers including Viator and TripAdvisor
• A client relationship management (CRM) tool for managing agent-client interactions
• AI tools for generating marketing copy, social media captions, and client emails

3. Account Registration

To access the Platform you must create an account by providing accurate, current, and complete information. You agree to:

• Provide truthful information during registration including your real name, agency name, and contact details
• Keep your login credentials confidential and not share your account with others
• Notify us immediately of any unauthorized access to your account at support@travelsparkmedia.com
• Be responsible for all activity that occurs under your account
• Be at least 18 years of age to create an account

We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or engage in fraudulent activity.

4. Subscription Plans and Billing

Subscription Plans: TravelSpark Media offers multiple subscription tiers. The features, limits, and pricing for each tier are described on our pricing page and may be updated from time to time with notice.

Billing: Subscriptions are billed on a recurring monthly basis. By subscribing you authorize LB Ventures LLC to charge your payment method on file through Stripe on each renewal date.

Cancellation: You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. We do not offer prorated refunds for unused time within a billing period.

Refund Policy: All sales are final. We offer a refund only in the following circumstances:

• You were charged in error due to a technical fault on our end
• The Platform experienced significant downtime (more than 48 consecutive hours) during your billing period
• You cancel within 48 hours of your first-ever subscription charge and have not used the platform

Price changes: We may change subscription prices with at least 30 days' written notice to your registered email. Continued use of the Platform after the price change takes effect constitutes acceptance of the new price.

One-time purchases: Destination bundle and individual item purchases are final and non-refundable once download access has been granted.

Failed payments: If a payment fails, we will attempt to charge your card up to 3 times over 7 days. If payment is not received, your account will be suspended. Your data will be retained for 30 days after suspension before permanent deletion.

5. Acceptable Use Policy

You agree to use TravelSpark Media only for lawful, professional purposes. You must not:

• Use the Platform to create content that is misleading, fraudulent, or deceptive to travel clients
• Resell, sublicense, or redistribute Platform features or downloaded materials to other agents outside your subscription's permitted seat count
• Attempt to reverse-engineer, scrape, or extract data from the Platform in bulk
• Use automated bots or scripts to access the Platform or generate AI content at scale beyond normal use
• Upload malicious files, viruses, or harmful code to the Platform
• Impersonate another agent, business, or TravelSpark Media itself
• Use client data entered into our CRM for purposes outside of serving those clients as their travel agent
• Violate any applicable local, state, national, or international law or regulation
• Use the Platform in any way that could damage, disable, or impair our servers or networks

Violation of this Acceptable Use Policy may result in immediate account termination without refund.

6. Intellectual Property

Our content: All platform software, design, destination data, pre-built itineraries, flyer templates, video templates, and original written content are owned by LB Ventures LLC or our licensors and are protected by copyright, trademark, and other intellectual property laws.

Your license: Upon subscribing, we grant you a limited, non-exclusive, non-transferable license to access and use the Platform and download marketing materials for your own professional travel agent business. This license does not permit you to:

• Resell or distribute TravelSpark Media templates or materials as your own product
• Remove watermarks or branding from materials you have not purchased and branded
• Use our AI Builder outputs to create a competing travel marketing platform
• Claim ownership of TravelSpark Media's original destination content, photography descriptions, or template designs

Your content: You retain ownership of all content you create and upload to the Platform, including your agency logo, client data, and custom itinerary notes. By uploading your logo for branding purposes, you grant us a limited license to apply it to your purchased materials.

7. AI-Generated Content

TravelSpark Media uses Claude AI (by Anthropic) to power our AI Builder tools including itinerary generation, flyer copy, social media captions, and client emails.

Ownership: AI-generated content you create using our tools is yours to use for your travel agent business. You are responsible for reviewing all AI-generated content for accuracy before sharing it with clients.

Accuracy disclaimer: AI-generated content including itineraries, tour recommendations, hotel suggestions, and transit information may contain errors, outdated information, or inaccuracies. You must independently verify all material facts before presenting them to clients or using them in professional communications.

No professional advice: AI-generated content does not constitute professional travel, legal, financial, or medical advice. Always rely on your professional judgment and licensed expertise when advising clients.

8. Marketing Materials and Branding

Flyers and videos downloaded from TravelSpark Media are licensed for use in your professional travel agent marketing activities. The following terms apply:

• Watermarked preview materials may not be used in client-facing communications — you must purchase and brand materials before using them professionally
• Branded materials are licensed for use by the subscribing agent only and may not be shared with or resold to other agents
• Agency plan subscribers may distribute branded materials across their permitted agent seats
• Materials may be used in print, digital, email, and social media marketing for your travel agency
• Materials may not be altered to remove or obscure LB Ventures LLC copyright notices embedded in file metadata
• We reserve the right to update or discontinue specific destination templates with reasonable notice

9. Client Data and CRM Tools

The My Clients CRM tool allows you to store information about your travel clients. You are solely responsible for:

• Obtaining appropriate consent from your clients before entering their personal information into our platform
• Complying with all applicable data protection laws including GDPR (if serving EU clients) and applicable US state privacy laws
• Ensuring client data you enter is accurate and up to date
• Notifying your clients that their information is stored in a third-party business software platform

TravelSpark Media processes client data you enter on your behalf as a data processor. We do not use your clients' personal information for our own purposes or share it with third parties except as required to operate the platform.

10. Disclaimers and Limitation of Liability

AS-IS service: The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Uptime: We strive for 99% uptime but do not guarantee uninterrupted access to the Platform. Scheduled maintenance will be communicated in advance where possible.

Third-party data: Tour information from Viator and TripAdvisor, map data from Google Maps, and other third-party content may change without notice. We are not responsible for the accuracy of third-party data.

11. Indemnification

You agree to indemnify, defend, and hold harmless LB Ventures LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

• Your use of the Platform or violation of these Terms
• Your violation of any third-party rights including intellectual property or privacy rights
• Any content you create using our tools that causes harm to a third party
• Your professional activities as a travel agent including advice given to clients based on Platform content
• Any dispute between you and your clients regarding travel services

12. Termination

By you: You may cancel your account at any time from Settings → Billing → Cancel Subscription. Access continues until the end of your paid billing period.

By us: We may suspend or terminate your account immediately and without notice if you:

• Violate these Terms of Use or our Acceptable Use Policy
• Engage in fraudulent or illegal activity
• Fail to pay your subscription fees after multiple billing attempts
• Use the Platform in a way that harms other users or our infrastructure

Effect of termination: Upon termination, your license to use the Platform ends immediately. You will lose access to all platform features, downloaded materials in cloud storage, and CRM data. We recommend exporting your data before canceling.

13. Dispute Resolution

Governing law: These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.

Informal resolution: Before filing any formal dispute, you agree to contact us at legal@travelsparkmedia.com and give us 30 days to resolve the issue informally.

Arbitration: If we cannot resolve a dispute informally, both parties agree to submit to binding arbitration in Texas under the American Arbitration Association rules. Class action lawsuits and class-wide arbitration are waived by both parties.

Small claims: Either party may bring qualifying claims in small claims court in Texas instead of arbitration.

14. Changes to Terms

We may update these Terms of Use from time to time. We will notify you of material changes by:

• Sending an email to your registered address at least 14 days before changes take effect
• Displaying a prominent notice on the platform dashboard
• Updating the "Last updated" date at the top of this page

Your continued use of TravelSpark Media after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Platform and cancel your account before the effective date.
